1. Agreement to Terms By accessing or using Stratos Automation’s services, you agree to be bound by these Terms of Service. If you do not agree, you may not use our services. ⸻ 2. Services Description Stratos Automation provides AI automation consulting, implementation, and hosted support services. These may include, but are not limited to: • AI chatbot development and deployment • Business process automation • Predictive analytics implementation • Custom AI solution development • Data processing and integration services • Ongoing support and maintenance ⸻ 3. Client Responsibilities Clients agree to: • Provide accurate and complete information necessary for service delivery • Ensure compliance with all applicable laws and regulations • Maintain the security of their systems and data • Make timely payment of fees as agreed upon • Provide reasonable access to personnel and systems as needed • Use services only for lawful purposes and not for spam, abusive, or illegal activities ⸻ 4. Payment Terms • Services are billed in advance on a recurring monthly basis unless otherwise stated • Invoices are due within thirty (30) days of receipt unless otherwise specified • Non-payment may result in suspension or termination of access without further notice • Refunds are only provided if expressly stated in the applicable service agreement ⸻ 5. Intellectual Property • Stratos Automation retains all rights, title, and interest in and to the software, frameworks, automation systems, and hosting infrastructure used to provide services • Clients are granted a limited, non-exclusive, non-transferable license to access and use the services during the term of their agreement, subject to timely payment of fees • Customizations, configurations, and workflows developed for the client remain the property of Stratos Automation unless otherwise agreed in writing • Clients retain ownership of their own data and content provided for use with the services ⸻ 6. Confidentiality • Both parties agree to maintain the confidentiality of all non-public information shared during the course of services • Confidentiality obligations survive for three (3) years after termination • Exceptions include information that: a) Is or becomes public through no fault of the receiving party b) Was lawfully obtained from a third party c) Was independently developed without reference to confidential information d) Must be disclosed by law or court order ⸻ 7. Service Availability We strive for high availability but do not guarantee uninterrupted or error-free operation of hosted services. Downtime may occur due to maintenance, upgrades, or circumstances beyond our control. ⸻ 8. Disclaimers / No Warranty • Services are provided “as is” without any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement • Stratos Automation does not guarantee that services will meet specific performance or business outcomes ⸻ 9. Indemnification Clients agree to indemnify, defend, and hold harmless Stratos Automation, its members, and employees from any claims, damages, liabilities, or expenses (including attorney fees) arising from: • Client’s misuse of the services • Violation of laws or regulations • Infringement of third-party rights in connection with use of the services ⸻ 10. Limitation of Liability • Stratos Automation’s total liability for any claim is limited to the amount the client paid for services in the twelve (12) months prior to the claim • We are not liable for indirect, incidental, special, or consequential damages, including lost profits, business interruption, or data loss ⸻ 11. Termination • Either party may terminate services with thirty (30) days’ written notice • Immediate termination may occur for breach of contract, non-payment, or other material violations • Upon termination: a) Client access to hosted services will be disabled b) Client data will be made available for export for thirty (30) days, after which it may be deleted c) Clients must pay for all services performed up to the termination date d) Stratos Automation may withhold delivery of work until outstanding invoices are settled ⸻ 12. Third-Party Tools and Dependencies • Stratos Automation may rely on third-party software, APIs, or platforms (e.g., AI models, hosting providers, automation tools) • We are not responsible for limitations, failures, or changes to such third-party tools • Clients’ continued use of services may be subject to the terms of such providers ⸻ 13. Governing Law & Dispute Resolution • These terms are governed by the laws of the State of Wyoming, United States • Any disputes shall be resolved through binding arbitration in Cheyenne, Wyoming, under the rules of the American Arbitration Association (AAA) • Each party shall bear its own costs of arbitration ⸻ 14.
